("Skar Audio"). https://www.skaraudio.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of https://www.skaraudio.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

SkarAudio.com, operated by Skar Audio, Inc., is a website that facilitates sales on behalf of the company to its consumers.

Your use of https://www.skaraudio.com is subject to Skar Audio's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Visiting https://www.skaraudio.com or sending emails to Skar Audio constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that Skar Audio is not responsible for third party access to your account that results from theft or misappropriation of your account. Skar Audio and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

The Site is intended for users who are at least 18 years of age. In compliance with the Children's Online Privacy Protection Act (COPPA), Skar Audio does not knowingly collect, either online or offline, personal information from children under the age of 13. Skar Audio products are covered by the limited manufacturer warranty described at https://www.skaraudio.com/pages/warranty-policy, which is incorporated into these Terms by reference. That limited warranty is the sole and exclusive warranty offered by Skar Audio. EXCEPT FOR THE EXPRESS LIMITED WARRANTY, PRODUCTS ARE PROVIDED "AS IS" AND SKAR AUDIO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.

Your order is an offer to purchase. No contract of sale is formed until Skar Audio ships the products and sends a shipping confirmation. Receipt of an order confirmation email or authorization of payment does not constitute acceptance of your order. Skar Audio may decline, limit, cancel, or refund any order in its sole discretion, for any reason, including suspected fraud, unauthorized resale, violation of these Terms, product unavailability, shipping restrictions, or pricing or description errors. If an order is cancelled after payment has been processed, your sole remedy is a refund of the amount charged.

Despite our best efforts, products on the Site may occasionally be mispriced, mis-described, or unavailable. Skar Audio reserves the right to correct any errors, inaccuracies, or omissions and to change or update information (including after you have submitted your order). If a product's correct price is higher than the price shown, Skar Audio may, at its discretion, contact you for instructions before shipping or cancel the order and refund the amount charged. Prices, promotions, and product availability are subject to change without notice. Quantities may be limited and Skar Audio reserves the right to limit quantities sold to any person, household, or order.

Accepted payment methods are displayed at checkout and may include major credit and debit cards, PayPal, and financing through Affirm. By submitting payment information, you represent that you are authorized to use the payment method and authorize Skar Audio (and our payment processors) to charge the full order amount, including applicable taxes and shipping. Skar Audio may place a temporary authorization hold on your payment method when you place an order; the hold is released according to your card issuer's policies if the order is cancelled. If your payment is declined, reversed, or charged back, Skar Audio may suspend or cancel your order and reserves the right to recover the amount owed, plus any associated fees, by any lawful means. Financing through Affirm is governed by separate terms between you and Affirm; Skar Audio is not a party to that agreement. Applicable sales taxes are calculated based on the shipping destination and are shown at checkout.

Shipping estimates displayed on the Site are estimates only and are not guarantees of a delivery date. All purchases are made pursuant to a shipment contract: title and risk of loss for the products pass to you upon delivery of the products to the carrier (F.O.B. shipping point). Skar Audio is not responsible for carrier delays, lost shipments, theft after delivery, or damage occurring in transit, except as may be required by law or expressly covered by our return policy. Claims involving carrier damage, lost shipments, or shortages must be reported to Skar Audio promptly so that we can assist with a carrier claim. Refused or undeliverable shipments returned to Skar Audio may be subject to restocking and return-shipping fees as described in the return policy. In addition, a return shipped after the 37-day carrier-scan window is treated as late: beyond the restocking fee — 15% if the item is received in new/unopened condition, or 25% if it has been opened or used — the cost of any prepaid return label Skar Audio provided is deducted from the refund, regardless of the original return reason, as described in the return policy.

Skar Audio products, including amplifiers, subwoofers, speakers, and related car-audio equipment, are capable of producing sound pressure levels that can cause permanent hearing loss. Prolonged exposure to high-volume audio is dangerous. You are solely responsible for operating the equipment at safe listening levels and for compliance with all federal, state, and local laws regarding vehicle noise, stereo equipment, and motor-vehicle operation.

Installation of car-audio equipment involves a vehicle's electrical, mechanical, and structural systems and should be performed by a qualified installer. Improper installation can cause fire, electrical damage, vehicle damage, personal injury, or voiding of your vehicle manufacturer's warranty. You are solely responsible for proper installation, fusing, wiring, mounting, enclosure design, amplifier tuning, and use of the products. To the fullest extent permitted by law, Skar Audio is not liable for any damage to vehicles, property, or persons, or for any consequential losses, arising from installation, misuse, abuse, modification, competition use, overpowering, under-powering, exposure to moisture or extreme conditions, or use of the products in any manner inconsistent with their documentation.

By providing your mobile phone number to Skar Audio and opting in, you expressly consent to receive recurring marketing, promotional, transactional, and informational text messages (including messages sent using an automated system) from or on behalf of Skar Audio at the number provided. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to any marketing message to unsubscribe, or reply HELP for help. Skar Audio content is not for resale. By connecting your Skar Audio account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature.

The Service is controlled, operated and administered by Skar Audio from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the Skar Audio Content accessed through https://www.skaraudio.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

You agree to indemnify, defend and hold harmless Skar Audio, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Skar Audio reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Skar Audio in asserting any available defenses.

Skar Audio is not liable for any delay or failure to perform under these Terms caused by events outside its reasonable control, including acts of God, natural disasters, fire, flood, severe weather, war, terrorism, civil unrest, labor disputes, pandemics or epidemics, government actions, carrier delays, supply-chain disruptions, internet or telecommunications outages, or shortages of materials, fuel, or labor.

Skar Audio respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Site infringes your copyright, send a written notice to our designated agent that includes: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it; (iv) your contact information; (v) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and (vi) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.

Informal Dispute Resolution / Notice of Dispute. Before initiating any arbitration or court proceeding, you and Skar Audio agree to first attempt to resolve the dispute informally for at least sixty (60) days. To begin, you must send a written Notice of Dispute by mail to Skar Audio, Inc., Attn: Legal, 4924 W Waters Ave, Tampa, FL 33634, describing the nature and basis of the claim and the specific relief sought, and including your name, address, account information, and contact information. If the dispute is not resolved within sixty (60) days after the Notice of Dispute is received, either party may proceed to arbitration.

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

30-Day Opt-Out. You may opt out of this Arbitration provision by sending written notice to Skar Audio, Inc., Attn: Legal, 4924 W Waters Ave, Tampa, FL 33634, postmarked within thirty (30) days after the date you first accept these Terms (or, for existing users, within thirty (30) days after these Terms are first published). The notice must include your full name, mailing address, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms. If you opt out, neither you nor Skar Audio can require the other to participate in arbitration of disputes between you.

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and Skar Audio agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Site, the products, or these Terms must be filed within one (1) year after such claim or cause of action arose, or it is permanently barred.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. SKAR AUDIO, INC. AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

SKAR AUDIO, INC. AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND. SKAR AUDIO, INC. AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKAR AUDIO, INC. AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF SKAR AUDIO, INC. OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Skar Audio reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Delaware and you hereby consent to the exclusive jurisdiction and venue of courts in Delaware in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Skar Audio as a result of this agreement or use of the Site. Skar Audio's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Skar Audio's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Skar Audio with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Skar Audio with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Skar Audio with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Skar Audio reserves the right, in its sole discretion, to change the Terms under which https://www.skaraudio.com is offered. The most current version of the Terms will supersede all previous versions. Skar Audio encourages you to periodically review the Terms to stay informed of our updates.
